LUTZ WEB SHIELD (hereinafter LWS) is a Website provided by Lutz Roofing Co. Inc. (hereinafter Lutz). It contains certain proprietary information and records of Lutz. This proprietary information includes, but is not limited to: an on-line roof management program which locates roof leaks onto a scaled sketch, locates applicable warranties to a scaled roof sketch, provides ratings, life expectancies, budgets, and other pertinent roofing data on a summary consulting report, and provides relevant photographs of the roof system(s). Lutz is asserting a copyright in LWS and in the plans and programs contained within it. As a condition to furnishing you with this information, you agree that this information and any other information which Lutz furnishes to you or your representatives or which you or your representatives obtain through access to LWS will be kept confidential from other roofing entities.

It is acknowledged that LWS was uniquely designed by Lutz, and that you agree to not disclose the LWS concept, or actual content, to any other roofing entity, or competitor of Lutz. You agree that LWS will not be used by you, your employees, affiliates or your representatives in any way detrimental to Lutz. The LWS will be treated as belonging to Lutz and shall not, without Lutz’s prior written consent, be disclosed in any manner, in whole or in part, to anyone who is not one of your employees, affiliates or representatives and who does not have a need to know it. Under no circumstances will the LWS be disclosed to any roofing competitor of Lutz. The LWS shall not be used other than for the purpose of obtaining and reviewing roofing related records pertinent to you, your employees, affiliates or your representatives.

You agree that LWS will not be used by you, your employees, affiliates or your representatives in any way detrimental to Lutz. The LWS will be treated as belonging to Lutz and shall not, without Lutz’s prior written consent, be disclosed in any manner, in whole or in part, to anyone who is not one of your employees, affiliates or representatives and who does not have a need to know it. Under no circumstances will the LWS be disclosed to any roofing competitor of Lutz. The LWS shall not be used other than for the purpose of obtaining and reviewing roofing related records pertinent to you, your employees, affiliates or your representatives.

You agree that you, your employees, affiliates or your representatives will not disclose to anyone who is not a direct participant in the LWS either the User name or Password or allow access to information not intended for the recipient.

If Lutz’s contract with you is terminated for any reason, or if the LWS is not used within the terms of this Agreement, you agree that your User access to LWS will be closed and that all information (including roofing information regarding the subject property or properties) contained in LWS, regardless of who made them, will remain the property of Lutz.

This Agreement shall be covered by the laws of the State of Michigan. Both parties agree to submit to the exclusive jurisdiction and venue of the Michigan courts. If any provision of this Agreement is deemed void, unlawful or otherwise unenforceable for any reason, that provision shall be severed from this Agreement and the remaining provisions of this Agreement shall remain in force.

This contains the entire agreement between you and Lutz concerning the LWS.
